Fitbook (Fitbook.com) is owned and operated by Dagsform ltd, (hereafter "Dagsform", "us" or "we"), a company registered in Iceland and is governed by Icelandic law. These terms and conditions constitute a legal agreement between you and Dagsform. Please read the agreement carefully before using any of the services provided.  You agree to be bound by the terms and conditions of this agreement. If you do not wish to be bound by these terms and conditions, you may not access or use the site. Dagsform may modify and update this agreement at any time and such modifications shall be effective immediately upon notice, which may be accomplished by posting the updated agreement on the website. You agree to review the agreement periodically to be aware of such modifications and your continued usage of the site will mean that you accept the updated agreement.  Furthermore, Fitbook reserves the right, at any time and for any or no reason, to limit, deny, modify or discontinue the Service with or without notice to you. Fitbook shall not be liable to you or any third party should Fitbook exercise its right to modify or discontinue the Service.

1.     Use of Services
The material provided by Fitbook (Fitbook.com) is for general informational purposes only. Fitbook is not a healthcare practitioner and has no expertise in diagnosing, examining, or treating medical conditions of any kind, or in determining the effect of any specific exercise on a medical condition. Fitbook is not a prescription system and is not intended to be a substitute for professional medical advice, diagnosis, or treatment. Members are responsible for their own health, diet research and decisions; therefore Fitbook requires that you consult with your physician or healthcare practitioner before dieting, making any personal health decisions, or following any training instructions you receive through Fitbook.com or participating in any event announced on our site. By registering for an account, you certify that you have received consent from your physician to participate in the programs, workouts, and exercises to be provided by Fitbook. You should understand that when participating in any exercise or exercise program, there is the possibility of physical injury and or death.

Fitbook is not responsible for any health problems that may result from training programs, products, or events you learn about through Fitbook.  If you engage in any exercise program you receive through Fitbook, you agree that you do so at your own risk, and are voluntarily participating in these activities.

Fitbook tries to provide only the most helpful and accurate information, but Fitbook cannot verify, endorse or vouch for the information, services or recommendations available through Fitbook.com. Fitbook is not responsible for the accuracy, reliability, effectiveness, or correct use of information you receive through Fitbook.com, or for any health problems that may result from training programs, products, or events you learn about through the site.

2.     Eligible Users
Fitbook is available only to individuals eighteen years of age and older, and to individuals who can form legally binding contracts under applicable law. By using Fitbook, you represent and warrant that you meet these criteria and you agree to having the ability under applicable law to enter into a legally binding contract.

 

3.     Prohibited activities
In connection with your use of Fitbook.com, you acknowledge and agree that you will not:

a. copy, reverse engineer, reverse assemble, otherwise attempt to discover the source code, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell any information, software, products or services obtained through the Service;

b. access the service by any means other than through the standard industry-accepted or interfaces provided by Fitbook.com;

c. transmit any message, information, data, text, software or image, or other content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, or otherwise objectionable which may invade another's right of privacy or publicity;

d. impersonate any person or entity, including without limitation, a Fitbook official, or falsely state or otherwise misrepresent your affiliation with such a person or entity;

e. post or transmit any material that contains a virus or corrupted data;

f. delete any author attributions, legal notices or proprietary designations or labels that you upload to any communication feature;

g. use of any communications features in a manner that adversely affects the availability of its resources to other users (e.g., excessive shouting, use of all caps, or flooding continuous postings of repetitive text);

h. post or transmit any unsolicited advertising, promotional materials, "junk mail", "spam," "chain letters," "pyramid schemes" or any other form of solicitation or any non-resume information such as opinions or notices, commercial or otherwise;

i. violate any applicable local, state, national or international law;

j. upload or transmit any material that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;

k. delete or revise any material posted by any other person or entity;

l. manipulate or otherwise display the service by using framing or similar navigational technology;

m. register, subscribe, attempt to register, attempt to subscribe, unsubscribe, or attempt to unsubscribe, any party for any product or service if you are not expressly authorized by such party to do so; or

n. use the Service for any purpose that is unlawful or prohibited by these terms and conditions. You may not use the Site in any manner that could damage, disable, overburden or impair our servers or networks, or interfere with any other user's use and enjoyment of the Service. Furthermore, you may not attempt to gain unauthorized access to any of the sites, services, accounts, computer systems or networks connected to Fitbook through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the sites or the services.

4.     Billing
Certain products or services may be offered for sale on the site. If you purchase or subscribe for any of these products or services, you will be asked to supply certain information, including without limitation, your full name, address, telephone number and credit card information. You agree to provide us with the foregoing information. You are responsible for all charges incurred through your account as well for paying any applicable taxes.

Some services are subscription based. If you enter a subscription based service you agree to pay all charges to your account including any applicable taxes. If you want to cancel your service, you need to do so before the payment for the following month is processed. If you cancel your service during a free trial, you will not be charged. Your account will be terminated at the time of cancellation without any refund. We reserve the right to change the amount of, or basis for determining, any fees or charges for services we provide, and to institute new fees, charges or terms effective upon notice to subscribers. We reserve the right to terminate any account at any time for any reason.

5.     General Terms and Conditions
You are responsible for maintaining the security of your member name, password and other confidential information relating to your Fitbook account, update your personal information, including email address. Members must provide a valid email address.

You are responsible for any and all activities and conduct, whether by you or anyone else, that are conducted through your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. Fitbook will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you may be held liable for any losses incurred by Fitbok or another party due to someone else using your account or password.

6.     Private Messaging Systems
Fitbook will not review all communications or materials posted on its private, and instant messaging systems, and is not responsible in any manner for the content of posted communications or materials. However, you acknowledge and agree that we have the absolute right to monitor the same at our sole discretion. In addition, we reserve the right to alter, edit, refuse to post or remove any postings or content, in whole or in part, for any reason and to disclose such materials and the circumstances surrounding their transmission to any third party in order to satisfy any applicable law, regulation, legal process or governmental request and to protect ourselves, our clients, sponsors, users and visitors.

7.     Third Party Content.
Some of the content contained on Fitbook.com is supplied by third parties and users. Accordingly, Fitbook.com is a distributor (and not a publisher) of such content and has no more editorial control over such content than does a public library, bookstore, or newsstand. Any opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties, including information providers, are those of the respective authors or distributors, and not Fitbook. Neither Fitbook nor any third-party provider of information guarantees the accuracy, completeness, or usefulness of any content. Furthermore, Fitbook neither endorses nor is responsible for the accuracy and reliability of any opinion, advice, or statement made on any of the sites or services by anyone other than an authorized Fitbook representative while acting in his/her official capacity.

8.     Member Conduct
We assume members of Fitbook.com will act responsibly and use the tools provided by Fitbook.com in a law-abiding manner. If Fitbook.com determines that any member is not using the system responsibly, we can and will censor, edit or block their transmissions or use of Fitbook.com.

9.     Proprietary Rights.
You acknowledge and agree that Fitbook contains proprietary and confidential information that is protected by applicable intellectual property and other laws, and are the sole property of Fitbook or its licensors. You further acknowledge and agree that any content contained in advertisements or information presented to you through advertisers concerning Fitbook or otherwise is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws.

By sending or transmitting to us creative suggestions, ideas, notes, concepts, information, or other materials (collectively, " Submitted Materials") or by posting such Submitted Materials on the Fitbook.com, you hereby grant to us and our designees a worldwide, non-exclusive, sublicensable (through multiple tiers), assignable, royalty-free, perpetual, irrevocable right to use, reproduce, distribute (through multiple tiers), create derivative works of, publicly perform, publicly display, digitally perform, make, have made, sell, offer for sale and import such Submitted Materials in any media now known or hereafter devised, for any purpose whatsoever, commercial or otherwise, without compensation to you, the provider of the Submitted Materials. The foregoing license to Fitbook shall be fully paid-up and royalty free. In addition, under no circumstances shall Fitbook have any obligation whatsoever to pay a fee to any subscriber or user in connection with the Submitted Materials upon the occurrence of a transfer of all or any portion of Fitbook's business through a merger, sale or transfer of all or substantially all of the assets of Fitbook, nor shall the sale of advertising on any of the Sites give rise to any obligation to pay a fee to Subscribers.

None of the Submitted Materials disclosed or posted via message boards, chats or other public forums shall be subject to any obligation, whether of confidentiality, attribution, or otherwise, on Fitbook's part and we shall not be liable for any use or disclosure of any such Submitted Materials.

10.  Warranty Disclaimer
Access to and use of the services is at your own risk. The services are provided on an 'as is' and 'as available' basis. Dagsform does not warrant that Fitbook.com or any of it's services will be uninterrupted or error-free or secure, including temporary site unavailability or short term server crashes. Your use of the service and any information provided on or through the sites and services are entirely at your own risk.

11.  Waiver, release and limitation of liability
You agree that neither Dagsform, or its affiliates, subsidiaries, officers, directors, employees, agents, consultants or information providers or suppliers, shall have any liability to you under any theory of liability or indemnity in connection with your use of Fitbook.com. You hereby release and forever waive any and all claims you may have against Dagsform, its officers, directors, employees, agents, consultants, information providers or suppliers for losses or damages you sustain in connection with your use of Fitbook.com. The total liability of Dagsform, and its officers, directors, employees, agents, consultants, information providers and suppliers, if any, for losses or damages shall not exceed the fees paid by you for the particular information or service provided. All other damages, direct or indirect, special, incidental, consequential or punitive arising from any use of the information or other parts of Fitbook.com are hereby excluded even if Dagsform or its officers, directors, employees, agents, consultants, information providers or suppliers have been advised of the possibility of such damages. Void where prohibited by law.
 
12.  Indemnification
You agree to indemnify, defend and hold harmless Dagsform, its parents, subsidiaries, affiliates, officers, directors, agents, employees, co-branders or other partners, suppliers and any third-parties from any loss, liability, claim, demand, action or damage, including reasonable attorneys' fees, arising out of or related to (i) your use or access of Fitbook.com or services, (ii) the use of your Fitbook.com account, (iii) any content, information or material you receive on or through Fitbook.com, (iv) any content, information or material you post or transmit via Fitbook.com or related email service, or (v) your breach or violation of any of these Terms of Use.
